Monroe Capital LLC (collectively with its affiliates, “Monroe”) is a leading U.S.-based private credit asset management firm with approximately $19.4 billion in assets under management as of October 1, 2024. The firm was founded in 2004 and is headquartered in Chicago, and maintains nine additional offices in Austin, Boston, Farmington, CT, New York, Los Angeles, Miami, Naples, San Francisco and Seoul.
Monroe is seeking a licensed attorney with registered investment funds experience to join our legal team. The attorney’s focus will be on registered investment products, including privately offered business development companies (BDCs), non-traded BDCs and non-listed real estate investment trusts (REITs). The role offers a hybrid/flexible schedule, with an in-office expectation of a minimum of 2 days per week and the flexibility to work outside the office the other days.
Responsibilities
- Draft, review, and maintain registration statements and related materials for funds and other securities offerings;
- Coordinate with outside counsel and Monroe Wealth Management team to ensure timely and accurate regulatory filings, including registration statement amendments, supplements, exchange listing applications, proxy statements, and related filings;
- Support Monroe’s Wealth Management team in all aspects of day-to-day fund, investment management and broker-dealer legal and regulatory compliance matters;
- Prepare agendas, resolutions, investment management agreements and related documents, policies and procedures, and other materials for investment company board meetings and preparing related minutes;
- Review distribution agreements and other general business contracts related to the registered funds / Wealth Management business; and
- Assist on other departmental projects and tasks as assigned.
Requirements
- Law degree
- Admitted to any state bar association
- 3+ years of experience working at a law firm and or in-house, with a focus on registered investment funds (mutual funds, ETFs, open-ended funds), BDCs and/or REITs
- Knowledge of Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933 and the securities Exchange Act of 1934 preferred
- Broker dealer / FINRA experience is a plus
- Excellent verbal and written communication skills
- Ability to manage multiple tasks simultaneously in a deadline driven environment as well as contribute to department and organizational special projects
- Ability to work well independently and as a member of a team, which includes the ability to be flexible and adaptable
- Strong attention to detail

For Illinois Only: It is expected that the base salary range for this position will be $250,000- $350,000. Actual salaries may vary based on factors such as skills, experiences and qualifications for the role. The total compensation package for this position may also include other elements and discretionary awards in addition to a full range of medical, financial and / or other benefits (including 401(k) eligibility and various paid time off benefits such as vacation, sick time and parental leave) dependent on the position offered.
