Purpose and Job Summary:
ORIX Corporation USA (“ORIX USA”) is seeking a senior real estate attorney that specializes in commercial real estate financing transactions and workouts. The successful candidate will be the lead attorney for non-agency real estate lending transactions at ORIX USA.The position will regularly counsel ORIX USA and its subsidiaries, including Lument, and its ultimate parent, ORIX Corporation (Tokyo: 8591 and NYSE: IX).
Essential Duties and Responsibilities:
- Executing, improving, and overseeing procedures, initiatives, and programs for ORIX USA’s commercial real estate lending, investing, servicing, and asset management activities.
- Assisting internal deal teams and managing outside counsel in negotiating, structuring, documenting, closing, and securitizing various types of real estate financing transactions. Transactions may include senior commercial mortgage loans, including construction loans and bridge loans, subordinated debt, and preferred equity.
- Counseling on loan servicing and asset management matters, including loan administration, workouts, restructurings, foreclosures, receiverships, bankruptcy proceedings, and other asset management activities related to ORIX USA’s non-agency real estate financing business.
- Drafting, negotiating, reviewing, and analyzing a wide range of commercial real estate documents, including financing documents, intercreditor agreements, participation agreements, and REO related agreements.
- Other projects and duties as needed.
Contacts and Management:
- Frequent contact with all levels of employees and management.
- Regular interaction with outside counsel, business partners, and counterparties.
- Supervision of one or more junior attorneys.

Education, Skills and Experience:
- Juris Doctorate from an accredited law school and admission in good standing to the bar.
- An undergraduate degree in finance, business administration, or economics is preferred.
- A minimum of 10 years of large law firm or comparable in-house corporate experience.
- Experience coordinating with and/or supervising one or more attorneys or legal professionals.
- Excellent business judgment and decision-making abilities.
- Commitment to innovative and continuous process improvement activities, including the use of technology.
- Polished and effective negotiation, communication, and drafting skills suitable for interaction with external parties and all levels of the organization, including senior managers and executives.
- Ability to understand, interpret, and explain complex contractual terms to business clients in a simple, practical manner.
- Excellent organizational, communication, presentation, and interpersonal skills.
- Ability to plan, organize, and prioritize assignments, and to meet critical and established deadlines.
- Flexibility and ability to work under pressure and adjust priorities in a rapidly changing environment.
- Strong character and principles, embracing the values of the legal and compliance profession.
- Strong interest in business, finance, and the capital markets, as well as familiarity with underlying business and financial concepts.
