Position Summary:
The Assistant General Counsel is responsible for working on a wide variety of matters, with a focus on Octagon’s CLO platform. In addition to strong structuring, negotiating, contract interpretation and other core legal skills, the ideal candidate will have an understanding of CLOs, the investment management business, relevant regulatory framework, credit markets, and restructuring matters.
We are looking for a junior to mid-level attorney who is curious, eager to learn, excited to contribute and take initiative, and help add value to the team. The Assistant General Counsel will take on an integral role in helping to manage and contribute to Octagon’s growth strategy.
Essential Duties and Responsibilities:
- Provide legal advice to the firm’s asset management business and work closely with Portfolio Managers, Analysts, Traders, Compliance, Operations and Business Development
- Assist with the structuring and negotiation of a variety of transactions, including CLOs, commingled funds, and separately managed accounts
- Proactively take on ad hoc projects and provide support for new business initiatives, as needed
Areas of Knowledge, Skills, and Abilities/Qualifications:
- Juris Doctor with NYS Bar Admission
- 2-5 years of practical experience at a top law firm or SEC-registered investment adviser
- Strong understanding of CLOs, warehouse financing arrangements, and related matters
- Familiarity with credit and financing arrangements, including loan origination, secondary trading, and restructuring matters
- Knowledge of Investment Advisers Act requirements and related rules
- Excellent written and oral communication skills, strong analytical skills, and exemplary attention to detail
- Comfortability interacting with all teams (including senior management) across the firm and affiliated organizations, and with Octagon clients
- Highly motivated, proactive team player with a positive attitude
- Ability to multi‐task, be proactive, work independently, and work effectively under pressure (often under deadlines and changing priorities)
- Outstanding reputation of professional integrity and maturity
- Exhibits a strong commitment to meet compliance obligations reflecting Octagon's core values of honesty and integrity; must accept responsibility for compliance in each role and comply with all applicable rules, regulations, and legal requirements
