The Opportunity:
As a Legal Counsel, Primary and Transactions Legal, you will focus on primary fund investments and secondary transactions in private equity, venture capital and real asset investment funds but will also have the opportunity to work on fund formation and transactional matters.
Your responsibilities will be to:
- Review and negotiate investor agreements (including limited partnership agreements, LLC agreements, subscription agreements and side letters), including drafting comment memoranda, negotiating comments with fund counsel, and preparing ancillary documents
- Review and negotiate LP and GP-led secondary transactions (including purchase agreements, framework/transaction agreements, transfer documents and LPAs)
- Assist with the fund and separate account formation process including negotiating agreements with potential clients
- Assist with other private market transactions, including co-investments and credit transactions
- Interface with legal team members, investment professionals, members of other departments, clients, private equity sponsors and their counsel, and other parties in connection with investments
- Supervise outside counsel where appropriate
- Review amendments to private equity fund agreements and assist fund investment team in advising clients on such amendments
- Periodic review of, and refinements to, investment legal guidelines, systems and procedures and closing processes to improve efficiency and productivity
- Manage all other aspects of clients’ closings into investment funds
- Special projects as assigned
Your background will include:
- Juris Doctorate and 3-6 years’ work experience as a practicing attorney, preferably with the private equity or corporate departments of a law firm
- Experience with private markets/fund formation preferred
- Other private equity transactional experience a plus, including M&A
- Excellent communication skills to interface effectively with clients, peers, outside counsel and opposing parties
- A strong, proactive work ethic and a commitment to being a collaborative team player
- Must be able to exercise independent judgment, problem solve and identify/implement creative solutions
- Proven analytical and organizational skills with strong attention to detail
- After initial learning period, the desire and ability to handle projects independently from inception to conclusion with minimal supervision
- General knowledge of legal structuring and tax issues associated with private markets transactions a plus
- Member of the Pennsylvania bar or eligible for in-house corporate counsel license.
