Position Summary:
Carlyle's Global Funds Legal team provides well-reasoned, concise advice on current, proposed or anticipated business activities of Carlyle and our funds, balancing business-oriented goals with legal and reputational risk.
The attorney would be a part of the Global Funds Legal team and would advise on all aspects of fund raising for Carlyle's wealth-focused funds, including new product development, fund formation, fund structuring, and fund governance and operational matters. This attorney will assist with preparing and reviewing regulatory filings and offering documents and drafting, negotiating and interpreting limited partnership agreements, distribution agreements and related fund documents. The attorney will also work on other miscellaneous internal regulatory issues. This position will also act as a liaison between Carlyle and outside counsel.
Location: This position can be in New York, NY or Washington, DC.
In-Office Requirements: 4 days per week in-office
Primary Responsibilities:
- Assist with preparation and review of regulatory filings and offering documents
- Draft, negotiate and interpret limited partnership agreements, distribution agreements, and other documentation relating to Carlyle's wealth-focused funds
- Draft and maintain appropriate policies and procedures for wealth-focused funds
- Assist fund team with ongoing operational and governance matters, including board matters
- Draft and review non-disclosure agreements, letter agreements, structure charts, resolutions and other documents
Requirements:
- JD from a top-tier law school with strong academic performance
- Active member of the bar of at least one state or the District of Columbia
- At least 7 years of professional working experience at a reputable law firm with a focus on fund formation
- Experience with 1934 Securities Exchange Act and 1940 Investment Company Act preferred
- Attention to detail, strong time management, organizational skills and logical/analytical approach to work are essential
- Ability to think critically, spot issues and exercise good judgement, balancing business-oriented goals with legal and reputational risk
- Ability to work effectively as part of a team
Benefits/Compensation
The compensation range for this role is specific to Washington, DC and New York, NY and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.
The anticipated base salary range for this role is $250,000.
