Overview
The Deputy General Counsel (DGC) will report to the General Counsel and will require close interaction with LGIM America’s Executive Team and key stakeholders. The DGC provide legal advice and strategic expertise across all areas of the business with primary responsibility for matters arising for the public markets strategies and real assets and their investment products (e.g., managed accounts, private funds, CITs, mutual funds and other regulated funds). Individuals are expected to be self-starters, have strong legal and analytical skills, excellent written and oral communication skills and an ability to deliver on the needs of a sophisticated business, and the flexibility to simultaneously manage a wide range of transactions and projects.
This role is base in Illinois.
Responsibilities
- Provide strategic legal counsel to senior business leaders on material legal maters and associated risks and mitigants
- Serve as primary US-based legal counsel for all public market strategy teams (i.e., active fixed income strategies, passive index strategies and multi-asset strategies, including derivative overlays)
- Assist the real assets team (i.e., real estate equity, real estate debt, and private credit) with deal and fund structuring, including coordinating tax and legal advice with outside counsel
- Draft and negotiate investment management agreements, side letters, letters of direction, and other client contracts
- Coordinate fund launches and product structuring, including working with outside counsel on legal documentation drafting, and address any issues arising from fund operations
- Assist, if requested, with review of regulatory filings, particularly those with significant fund information (e.g., Form ADV and Form PF)
- Provide legal advice relevant to a global asset manager, including assistance with participating affiliate agreements and internal services contracts
- Provide support on counterparty documents, including ISDAs, MRAs and FCAs
- Perform legal research and analysis of legal and regulatory issues
- Provide legal support to regulatory examinations
- Present to Executive Committee and Board as required
- Other tasks as identified by the General Counsel
Qualifications
- JD. degree from an accredited law school
- Licensed to practice law in Illinois
- A minimum of 8 years of asset management industry experience with law firm or company required
- Experience with investment adviser regulatory matters, ERISA and investment fund/investment company launches, filings and regulatory matters required
- Experience managing direct reports, including non-lawyers, required
- Executive presence and executive voice required
- Ability to do risk-based legal and compliance analysis required
