Our New York office is looking for an Investment Banking Vice President to join Morgan Stanley’s Shareholder Activism and Corporate Defense Practice, which advises public company clients and their boards of directors in the growing area of shareholder activism defense and hostile takeover defense. In this role, the banker will be part of the M&A Team and will work alongside Shareholder Activism and Corporate Defense Bankers, as well as coverage and M&A bankers across geographies, on a number of mandates.
The banker will be required to provide advice and assistance to all industry coverage teams and Morgan Stanley clients regarding preparing for and responding to shareholder activists and hostile suitors, and advise on matters relating to corporate governance and shareholder matters, including responding to activist shareholder campaigns, unsolicited takeover bids, proxy contests, consent solicitations, special meeting demands and other contests for corporate control. The banker will help create presentations and analyses for defense pitches to drive client marketing/targeting efforts and work on live defense mandates/proxy fights.
- 6+ years of relevant experience within the investment banking industry as an Analyst, Associate, and/or Vice President with a proven track record working on complex situations
- Experience in shareholder activism required
- Comfortable reading and interpreting financial statements
- Commercial instinct and ability to perform under pressure and tight deadlines
- Extraordinarily high level of motivation and commitment to working hard
- Strong written and verbal communication skills, client and interpersonal skills
- Bachelor’s degree required; an MBA, JD and/or CFA designation would be an asset
- Series licensing or must obtain
Expected base pay rates for the role will be between $250,000 and $275,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
