Are you a legal expert specializing in private credit finance?
PGIM, Inc. is looking for an experienced private credit finance lawyer with asset management and securities experience to support PGIM Fixed Income (the public fixed income asset management unit within PGIM, Inc.). The successful candidate will be based in Newark, N.J. and will join a team of lawyers supporting PGIM Fixed Income’s asset management business.
The current EWA for this position is Hybrid and requires on-site presence on a reoccurring basis as determined by the business. We will provide additional details relative to the specific number of days you are expected to be on-site.
What you can expect:
- providing expert legal advice on direct lending and other private credit matters, including structuring, negotiating and documenting transactions
- drafting and reviewing complex transaction documents, including credit agreements, security documents, intercreditor agreements and confidentiality agreements
- advising on applicable regulatory requirements
- collaborating closely with investment and business professionals, and finance, risk and compliance partners, in executing and managing transactions
- monitoring and interpreting changes in laws and regulations relevant to private credit finance
- providing advice with respect to operations, syndication and trading issues
- advising on related investment management issues
- managing external transaction counsel
What you’ll need:
- 5+ years of relevant and sophisticated experience as a lawyer in a law firm, investment bank or investment manager
- Extensive experience in private credit finance, with a strong background in transactional work
- In-depth knowledge of relevant laws and regulations, including UCC Article 9, securities laws, and bankruptcy laws
- Excellent negotiation, drafting and communication skills
- Stellar project management skills, including the ability to prioritize multiple tasks and operate independently in a fast-paced environment
- Excellent judgment, including the ability to provide pragmatic advice and raise issues when appropriate
- Ability to collaborate with clients, colleagues and corporate partners at all levels, including senior management
- You must be admitted to practice law in New Jersey or another U.S. state. If you do not have a plenary license to practice law in New Jersey, you must apply for a New Jersey In-House Counsel license within 60 days of employment
It would be a plus if you had knowledge and experience of:
- U.S. securities laws
- Investment management/Investment Advisers Act of 1940
- Registered investment companies/Investment Company Act of 1940
- Insurance regulation and regulatory capital requirements
- ERISA

The salary range for this role is from $210,700.00 to $285,100.00. Specific pricing for the role may vary within the above range based on many factors including geographic location, candidate experience, and skills. Roles may also be eligible for additional compensation and/or benefits. Eligibility to participate in a discretionary annual incentive program is subject to the rules governing the program, whereby an award, if any, depends on various factors including, without limitation, individual and organizational performance.
