Overview of Role
Within our Global Advisory division, a Debt Advisory Experienced Associate/VP will work on a broad spectrum of debt financing transactions for corporate and financial sponsor-owned clients ranging from middle-market privately-held businesses to large-cap public companies.
The role will include executing leveraged finance and other debt finance transactions where we arrange and/or advise on issuances of private credit and broadly syndicated term loans, high yield and investment grade bonds, asset based and commercial bank credit facilities, and hybrid / preferred stock instruments.
Our debt advisory transactions cover a diverse variety of industries and geographies. Many of our transactions are cross-border in nature as our client base is global.
Responsibilities
- Assist in the origination and execution of debt capital raising transactions for sponsor and corporate clients and in connection with supporting other strategic assignments requiring financing such as M&A, leveraged buyouts, and recapitalizations
- Prepare capital structure and other financial analyses in order to assess potential financing solutions for clients
- Lead the preparation of marketing materials including comprehensive lender presentations and information memorandums
- Lead modelling workstreams including supervising building of detailed operating, LBO, recapitalization and cash-flow models
- Lead due diligence processes, including preparation of due diligence Q&A and information requests
- Perform credit analysis including cash flow sensitivity analysis, liability management analysis and ratings analysis based on methodologies of major ratings agencies
- Maintain a strong working knowledge of capital structure alternatives, including an understanding of governing legal documentation (debt financing commitment letters, credit agreements and bond indentures), prepare financing grids and participate in debt documentation negotiations
- Coordinate complex transactions across a variety of stakeholders (clients, legal counsel, lenders/investors, accountants and other third parties, etc.)
- Screen debt advisory opportunities and collaborate with industry coverage teams to source leads and provide leverage / pricing views
- Supervise the preparation of presentations, analysis, and information memorandums for C-level client executives, investors, lenders, boards of corporations, and ratings agencies
- Take the lead on responding to investor / lender questions and information requests during debt marketing processes
- Prepare regularly published institutional debt market updates
- Take an active role in training and mentoring junior members of the team
Education and Qualifications
- Bachelor’s degree (strong GPA from top academic institution)
- MBA degree preferred, but not required
- At least 2-3 years of post-MBA or 3 - 6 years of post-undergraduate degree experience required
- Prior debt / capital structure advisory or leveraged finance experience at an investment bank or direct lender preferred
Experience, Skills and Competencies Required
- Strong quantitative ability and analytical skills with knowledge of corporate finance and financial accounting
- Experience in leveraged finance / debt capital market transactions including advising corporate and private equity clients on loan and bond issuances for mergers & acquisitions, leveraged buyouts and refinancing transactions
- Experience building financial models to project cash flows and analyze ability to repay debt and analyzing the capital structure of comparable companies and preparing a comparison of key credit metrics
- Experience putting together marketing presentations including lender presentations and information memorandums
- Knowledge of debt capital markets including private and/or institutional markets
- Knowledge of market terms across various debt instruments and legal documentation
- Desire to work across industry sectors, learning the businesses of multiple clients in different lines of business
- Excellent interpersonal and communication skills and a readiness to work effectively in cross-border and domestic teams
- Polished and professional writing skills
- Ability to develop long-term professional client relationships
- Ability to confidently communicate work product with team members and clients
Expected base salary rates for this role in our New York Office will be between $200,000 and $250,000 per year at the commencement of employment. However, salary offers are determined on an individualized basis and are based on a wide range of factors, including relevant skills, training, experience and education. Market and organizational factors are also considered. In addition to salary and our Rothschild & Co employee benefits package, successful candidates may be eligible to receive a discretionary bonus.
