Job Description:
The Associate General Counsel assists with a variety of matters, including the creation of new investment products, preparation of required disclosure for mutual funds and ETFs, contract review and negotiation, corporate governance, and other legal matters relating to products and services offered by the firm.
Key Responsibilities
- Oversees preparation of required mutual fund and ETF disclosure documents, including updates and supplements to prospectuses and statements of additional information and legal review of Tailored Shareholder Reports
- Prepares, reviews, and negotiates legal contracts, documents, and agreements, which includes ISDAs and related trading agreements, and taking the lead role in the review and negotiation of intermediary agreements
- Provides legal counsel and assistance with matters related to the firm's products and services, which includes mutual funds, ETFs, and CITs
- Prepares Board materials and/or addresses issues related to the Board
- Assists with new product development
- Coordinates legal research, as needed
- Provides mentoring and feedback for team members
- Oversees the opening of foreign markets for the mutual funds and ETFs
Requirements
- J.D. degree and 6-8+ years of experience in the corporate and/or securities practice area of a law firm or as in-house counsel in an investment-related business
- Proficiency in technical research/writing including ability to create, edit and present
- Proficient knowledge of computer systems including MS products (Word, Excel and PowerPoint)
- Excellent analytical skills with proven ability to interpret and communicate complex concepts
- Action oriented, timely and organized with ability to prioritize workload with high degree of accuracy and attention to detail
- Works independently and performs a variety of tasks in a team environment
- Ability to coach and guide others
