The Opportunity
We are seeking an experienced professional to join our mutual fund legal team and become an integral member of MassMutual’s Legal Department. This is an excellent opportunity to be part of a growing business by providing legal support for MassMutual’s investment platform. This individual will help support an over $40 billion proprietary mutual fund complex and interact with internal clients, third-party service providers, as well as outside mutual fund board members.

Your day to day would include and is not limited to:
- Perform a variety of basic and increasingly complex and/or advanced work for SEC registered mutual funds under the general guidance of an attorney.
- Assist attorneys and other legal specialists on the team in the preparation of various disclosure documents, such as mutual fund prospectuses, Statements of Additional Information, Part Cs, and mutual fund information statement and proxy materials.
- Mentor and help to supervise junior legal specialists on the team.
- Manage and update mutual fund prospectus disclosure. Work with financial printer to file electronic filings with the U.S. Securities and Exchange Commission’s EDGAR database.
- Assist attorneys in the preparation of mutual fund board books and supporting fund governance materials. Prepares agendas and materials for board of trustees’ meetings.
- Become proficient at using and maintaining on-line board book and document management system.
- Coordinate the review and editing of mutual fund annual and semiannual reports.
- Leads the process of interacting with clients and working team members to distribute draft documents for review and to coordinate receipt and reconciliation of client comments on distributions.
- Compose drafts of memoranda and other communications for clients and attorneys.
- Independently prepare and maintain compliance calendars for ongoing and anticipated projects, including regulatory filings and annual board approval items.
- Assist attorneys by being the key point of contact for various vendor relationships.
The Minimum Qualifications
- Bachelors’ degree or Paralegal Certificate
- 5+ years of experience providing legal support to SEC registered mutual funds
The Ideal Qualifications
- 7 + years of experience providing legal support to SEC registered mutual funds
- Proficient in Microsoft Office Suite
- Strong written and verbal communications skills
- Able to multitask, embrace change and manage well under pressure
- Operates with a high level of confidentiality as it relates to client and firm
- Experienced with project management, working collaboratively in a team environment
