Carlyle's Global Funds Legal team provides well-reasoned, concise advice on current, proposed or anticipated business activities of Carlyle and our funds, balancing business-oriented goals with legal and reputational risk.
Position Summary
The attorney would be a part of the Global Funds Legal team with a focus on the Global Private Equity segment, and would advise on all aspects of fund raising, including fund formation, new product development and fund structuring, investment structuring and other fund related matters. This attorney will assist with negotiating and interpreting private placement memoranda, limited partnership agreements, parallel vehicle documents, co-investment documents, managed accounts, investment management agreements, side- letters, transfer agreements and related documents. The attorney will also work on Carlyle's global placement agent relationships and work in close contact with the Compliance team on due diligence of such relationships. The attorney will also work on other miscellaneous internal structuring and regulatory issues. This position will also act as a liaison between Carlyle and outside counsel.
Primary Responsibilities
- Review and negotiate limited partnership agreements, private placement memoranda, subscription agreements, side letters, placement agent agreements and other related documentation relating to Carlyle's private investment funds (both main funds and external and internal co-investment funds) and managed accounts
- Respond to internal and external inquiries regarding ongoing fund operations, governance and transactions
- Draft and review non-disclosure agreements, structure charts, resolutions and other miscellaneous agreements/documents
- Draft and review documentation relating to secondaries and transfers
- Improve existing knowledge management processes for the Global Funds Legal team and assist with miscellaneous firm and fund regulatory compliance items
Requirements
- JD from a top-tier law school with strong academic performance
- Active member of the bar of at least one state or the District of Columbia
- 2-4 years of professional working experience at a reputable law firm with a focus on fund formation
- Attention to detail, strong time management, organizational and project management skills and logical/analytical approach to work are essential
- Ability to think critically, spot issues and exercise good judgement, balancing business-oriented goals with legal and reputational risk
- Ability to work effectively as part of a team
Benefits/Compensation
The compensation range for this role is specific to Washington, DC and New York, NY and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.
The anticipated base salary range for this role is $175,000 to $210,000.

Additionally, the hired professional may also be eligible to participate in an annual discretionary incentive program, the award of which will be dependent on various factors, including, without limitation, individual and organizational performance.
