Position Summary
This individual will serve as a lawyer for Carlyle's Global Credit business unit, reporting directly to the Head of Liability Management. Our Global Credit segment is a multi-product, markets-focused investment platform. Established in 1999 with our first high yield fund, Global Credit currently operates 142 active vehicles across its four business segments, Liquid Credit, Private Credit, Real Assets Credit, and Asset-Backed Finance. As of December 31, 2024, Carlyle's Global Credit platform has over 175 investment professionals and over $190 billion in AUM.
The primary focus of this individual will be twofold:
A. CLOs: i) Carlyle Managed CLOs: US and Europe BSL and US Direct Lending. Within the CLO mandate, this individual will be the point person on all legal/documentation aspects from beginning to end including engagement letters, warehouse facilities, Indentures, Credit Agreement, OMs, investor stipulations, rating agency legal requirements, closing procedures, etc. And, ii) Third-party CLO tranche investing: Assist the tranche investing team on indenture and OM review and analysis (and other CLO documents) as well as investor documentation stipulations in connection with the investing (and disposition) process.
B. Fund Financing in connection with the entirety of Carlyle's $200bln Global Credit Platform. Within the Fund Financing mandate this individual will lead all legal/documentation issues as it relates to all credit facilities entered into to leverage the Global Credit Platform in the US and abroad.
Additionally, this individual will be expected, on an as-needed basis to assist in other legal matters across the credit platform, providing an opportunity to learn about other asset classes within the credit spectrum, including retail.
Primary Responsibilities
- Serve as the primary lawyer for Global Credit's Liability Management effort
CLOs:
- Review and execute, in coordination with the various internal Carlyle teams: all CLO-related documentation from beginning to end including CLO/SPV formation, engagement letters, term sheets, side agreements, warehouses, Risk Retention, Indenture, OM, Credit Agreements, all other ancillary docs, etc.
- negotiate directly and/or via the CLO Underwriter, in coordination with the banking team, all investor stipulations in accordance with prior history, current market standards and Carlyle + Investor priorities
- Assist the tranche investing team on Indenture and OM review and analysis and negotiation (and other CLO documents) as well as investor documentation stipulations in connection with the investing (and disposition) process
Fund Financing:
- Assist with all fund financing legal review and execution across Carlyle's Global Credit Platform
- Coordinate with internal teams and fund formation lawyers
- Review and execute in coordination with the various Carlyle teams, term sheets, credit agreements, and all other ancillary docs for all credit facilities platform
Other:
- Assist on transactions on an as-needed basis, including with respect to due diligence, deal negotiation, marketing and other special projects
- Work with various internal teams in evaluating, structuring, and executing transactions for both Carlyle affiliated entities as well as third parties
- Assist and advise Carlyle's global Legal & Compliance function as needed on cross- platform regulatory and policy initiatives
Requirements
- JD from a top-tier law school with strong academic performance
- 5+ years of CLO focused legal & compliance experience at an asset manager, or a law firm
- 2+ years of experience working in the CLO group of a major law firm, preferred
- Strong understanding of credit asset management.
- A proven ability to effectively and clearly identify issues and communicate findings to other members of the team.
- A proactive, self-starter work style and ability to interact with people with varied personalities and work styles.
- Outstanding organization and communication skills.
- A proven ability to multi-task and work both independently and as a team player in a fast-paced environment
Benefits/Compensation
The compensation range for this role is specific to New York and takes into account a wide range of factors including but not limited to the skill sets required/preferred; prior experience and training; licenses and/or certifications.
The anticipated base salary range for this role is $300,000.
