Role Overview
Jefferies is seeking a Senior Associate or Vice President to join its Secondary Advisory team in San Francisco, specifically supporting GP‑led secondary transactions for venture capital and growth equity sponsors. The venture/growth secondary market continues to expand rapidly as firms seek new liquidity pathways for high‑performing assets, structured capital solutions, and next‑generation continuation vehicles. The Senior Associate / VP will be a key execution leader across marquee transactions, working closely with innovative GPs, portfolio companies, and the global secondary investor universe. This is a unique opportunity to impact some of the most sophisticated and entrepreneurial clients in private markets, while collaborating across Jefferies’ technology, healthcare, fintech, and consumer sector franchises.
Key Responsibilities
Transaction Execution
- Lead execution of GP‑led secondary transactions across the growth equity and venture ecosystems, including continuation vehicles, strip sales, tender offers, structured secondaries, and NAV‑based solutions
- Develop, review, and refine financial models, asset‑level projections, valuation analyses, and sensitivity cases
- Oversee preparation of core client materials: process letters, management presentations, teaser decks, and investor documentation
- Manage diligence streams with portfolio companies, fund finance teams, legal counsel, and third‑party advisors
Client & Investor Engagement
- Serve as a day‑to‑day point of contact for venture capital and growth equity sponsors, as well as portfolio company executives
- Coordinate and lead investor outreach across global secondary buyers, growth crossover funds, and structured capital investors
- Run investor dialogues, diligence sessions, management meetings, and virtual/on‑site roadshows
- Gather investor feedback to drive transaction design, structuring options, and value maximization
Market Intelligence & Internal Collaboration
- Conduct research on secondary market trends specific to venture and growth , including capital formation, exit dynamics, and fund performance benchmarks
- Partner extensively with Jefferies sector bankers (Tech, Healthcare, Consumer, Financial Institutions, etc.) to bring integrated coverage to clients
- Maintain Jefferies’ proprietary databases on secondary investor strategies, preferences, pricing insights, and deal outcomes
Qualifications
- Bachelor’s degree with a strong academic track record
- 5+ years of relevant experience: investment banking, valuation advisory, VC/growth equity investing, secondaries, or strategic consulting
- Strong financial modeling and valuation capabilities, with experience evaluating high‑growth companies preferred
- Familiarity with venture and growth ecosystems, including fund structures, portfolio construction, and company‑level operating metrics
- High degree of maturity and ability to work directly with GPs, founders, CFOs, and secondary investors
- Ability to manage multiple workstreams and deliver best‑in‑class materials under tight timelines
- Strong ownership mindset, problem‑solving skills, and critical thinking
- Exceptional communication skills—written and verbal—with mastery of Microsoft Word, PowerPoint, and Excel
