Job Description
Ready Capital is looking to hire a Senior Legal Counsel for Ready Capital Corporation, a $2.5 billion, public commercial Mortgage REIT. This role will report to Ready Capital CFO, with dotted line to Waterfall Asset Management General Counsel. The Senior Legal Counsel will manage corporate paralegal and oversee heads of legal for Ready Capital operating companies.
Specific job responsibilities include:
- Managing legal framework for Ready Capital Corporation (NYSE: RC), working closely with leadership of Ready Capital, including CEO, CFO, COO, and Head of Credit, as well as Waterfall General Counsel and Contract Finance team;
- Overseeing processes in respective of filings and disclosure for public/NYSE-listed company;
- Drafting and negotiating commercial agreements (e.g., Master Services Agreements, Confidentiality and Non-Disclosure Agreements, LOIs, Consulting Agreements, etc.) with counterparties, vendors, and service providers;
- Providing ongoing counsel on intellectual property, trademarks, data protection and security, labor and employment, and general corporate matters;
- Providing ongoing counsel on regulatory compliance matters, including with respect to the ’34 Act and ’40 Act;
- Responding to, and providing advice on, company litigation;
- Managing M&A transaction and diligence activity in conjunction with outside counsel;
- Assisting with documentation of company governance matters and legal entity maintenance;
- Assisting the Firm in the creation and maintenance of policies and procedures; and
- Managing external counsel.
Qualifications and Education Requirements
- A minimum of 6 years practicing in a law firm, preferably in a corporate practice;
- Experience counseling public companies;
- Strong organizational skills and ability to manage multiple time sensitive matters in a demanding, fast-paced and fluid environment;
- A business and solution-oriented approach to interacting and working with clients; and
- Excellent oral and written communication and presentation skills.
