Neuberger Berman is seeking a Senior Staff Attorney to support its Corporate and Legal Governance team. The Senior Staff Attorney will report to the General Counsel – Corporate and will be a key member of team. This job will generally assist and support the company’s corporate business initiatives, including but not limited to corporate governance, company equity support, and transaction support, while working across various teams at the firm.
Responsibilities:
Legal entity management, including formation and registration of entities in various jurisdictions
Corporate recordkeeping, including drafting and maintaining corporate proceedings and certificates
Manage legal entity database and maintain corporate entity information, build organization charts, maintain director and officer lists and registrations
Assist with preparation of offering and subscription documentation, including grant documentation
Assist with preparation of closing papers, sales and transfers of securities
Assist with due diligence reviews and regulatory filings
Work with outside counsel on ancillary agreements and closing documentation
Respond to AML and KYC requests and due diligence questionnaires
Work closely with finance and operations groups to open accounts globally
Review and negotiate NDAs and inter-company agreements
Qualifications:
JD required plus at least two years of practice as a lawyer in a corporate or general practice
NYS bar admission
Excellent organizational skills and resourcefulness; must be able to work independently in a fast-paced environment with multiple priorities and deadlines
Strong oral and written communication skills, comfort working with senior executives and outside counsel
Ability to leverage new technologies
Proficiency with Microsoft Office products (Word, PPT)
Compensation Details
The salary range for this role is $130,000-$175,000. This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting. We may ultimately pay more or less than the posted range, and the range may be modified in the future. This range is only applicable for jobs to be performed in New York City. An employee’s pay position within the salary range will be based on several factors including, but limited to, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, shift, travel requirements, sales or revenue-based metrics, any collective bargaining agreements, and business or organizational needs. This job is also eligible for a discretionary bonus.
