The Corporate Counsel is responsible for supporting all aspects of the Firm’s legal requirements. As part of a small legal team, your scope of projects will be broad and your impact immediate. What You Will Do
- Provide advice related to fund launches, new investment products, research projects, technology initiatives and support of new areas of the business.
- Leverage your expertise in the Investment Advisers Act, the Investment Company Act and general securities laws to advise our global business.
- Draft, negotiate and review investment management agreements and guidelines, at account inception as well as during account transitions and modifications.
- Draft, negotiate and review counterparty trading and derivatives agreements, including ISDAs, MSFTAs, MRAs and CDEAs.
- Advise investment professionals on a day-to-day basis on trading and investment issues, including corporate restructurings, bondholder committees, structured products, M&A activities and handling of MNPI.
- Provide advice on general matters relating to vendor contracts, data protection, privacy and other miscellaneous in-house matters.
- Contribute to responses for marketing questionnaires and other client service deliverables, including Request for Proposals (RFP) and Request for Information (RFI).
- Assist with firm registrations, including the Firm’s SEC Form ADV.
- Support special and ad-hoc projects as assigned, which may be global in nature.
What You Will Bring
- A minimum of seven years of law firm experience, California bar admission, ABA accredited school; Am Law 100 experience a plus.
- Previous experience with investment management matters, federal securities laws, and current laws and regulations governing private and public funds and investment managers.
- Knowledge of fund formation, derivatives and counterparty agreements.
- Ability to multitask and prioritize in a fast-paced environment.
- Self-starter with a desire to learn and build strong relationships both internally and externally.
- Passionate about the legal industry, creative, resourceful and, above all, client-focused.
- Service-oriented attitude, with ability to provide timely responses to business requests.
- Demonstrated business acumen with ability to inspire trust and confidence with stakeholders.
Expected base salary for the role will generally be between $165,000 and $210,000 per year at the commencement of employment. However, base salary if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include other forms of compensation such as, discretionary bonuses, short and long-term incentive packages, and Company-sponsored benefit programs.
