In the role of Associate General Counsel, the employee will be responsible for the following:
- Work with the Legal Team to review and interpret international, state and federal laws and regulations as well as perform research, provide insight and make recommendations based on best practices
- Assist with general corporate matters (e.g., entity formation, drafting governance documents, resolutions, etc.)
- Provide advice and insight for new fund launches and SPV and other structures
- Work closely with the Client Relationship Group and provide insight and recommendations for new funds, share classes, side letters and new strategies looking to implement
- Negotiate documentation for private transactions (e.g., stock purchase agreements, convertible promissory notes, limited partnership agreements and limited liability company agreements) and coordinate closings
- Strong interpersonal skills and an ability to work both independently and in a highly collaborative environment, with good judgment regarding when to elevate issues.
- Provide direct support to the Deputy General Counsel and General Counsel
- Review and respond to legal inquiries raised by business units or departments
- Personal interactions with all levels of the business
QUALIFICATIONS & REQUIREMENTS:
In order to effectively represent the Company and communicate with clients, the employee must be someone who has:
- Fund Formation experience
- Family office experience a plus
- Private transaction experience a plus
- Excellent written and verbal communication skills as well as negotiation experience.
- Practical experience with legal matters in financial services industry is preferred
- Strong desire to work collaboratively with the team
- Maintains a high standard of professionalism in all dealings with internal staff and any external partners, clients and regulatory agencies
- Problem solving skills and ability to identify and implement appropriate solutions
- Ability to prioritize and manage multiple tasks and projects concurrently to meet/exceed deadline
- Consistent work ethic through hard work, confidence and effort
- Outstanding attention to detail and strong organization skills
EDUCATION, TRAINING & EXPERIENCE:
- JD & 4 years of legal experience required
- Prior experience in financial services industry a plus
- Hedge fund and registered investment advisor experience strongly preferred
