Position
Polen Capital is seeking to hire a Legal Counsel based in our Boca Raton office who will be responsible for supporting the Legal & Compliance team on the diverse legal needs of a dynamic and global investment manager. The Legal Counsel reports to the Deputy General Counsel.
Responsibilities
- Draft and negotiate investment management agreements, guidelines and other agreements with clients, financial institutions, consultants, plan fiduciaries and investment advisers
- Negotiate vendor agreements, confidentiality agreements, and other legal documents with external parties
- Research and advise on contractual, securities law, banking law, trading, and portfolio management issues
- Participate in legal work in connection with internal and external transactions on an ad hoc basis
- Enhance Polen Capital’s corporate governance structure and framework
- Support regulatory reporting and responses to audits, regulatory exams, investigations, and other information requests
- Support legal activities related to onshore and offshore funds
Qualifications
- Bachelor’s degree and Graduate degree in law (J.D.)
- Minimum of 4-6 years’ experience as a lawyer in the transactional or investment management practice of a major law firm or in the legal department of a leading investment management firm; at least 2 years’ of practice at a major law firm required
- Experience with the U.S. Federal securities laws (preferably the Investment Advisers Act and/or the Investment Company Act)
- Admitted to practice law in at least one state and eligible to register as an Authorized House Counsel in Florida
- Team player with exceptional people skills that contribute to the ability to work well with others toward common goals
- Well-organized and comfortable working in a fast-paced environment; ability to work independently with a focus on prioritization; attention to detail is essential
- Knowledge of the products and services available in the investment management industry
