Position Overview:
Legacy Hedge is seeking an experienced In-House Fund General Counsel to provide comprehensive legal support for fund structuring, contracts, and negotiations. While this role has been outsourced in the past, we are now looking to bring legal expertise in-house to enhance efficiency and responsiveness. The General Counsel will play a critical role in advising the leadership team and ensuring compliance with all applicable regulations.
Key Responsibilities:
- Fund Structuring: Advise on legal aspects of fund formation, structuring, and regulatory compliance.
- Contracts: Draft, review, and negotiate contracts with service providers, investors, and counterparties.
- Regulatory Compliance: Ensure the fund adheres to all SEC and other relevant regulatory requirements.
- Investor Relations: Provide legal support for investor agreements, disclosures, and fundraising activities.
- Risk Mitigation: Identify and mitigate legal risks associated with fund operations and investment strategies.
- Litigation Support: Oversee and manage any legal disputes or regulatory inquiries.
- Policy Development: Develop and implement internal policies and procedures to ensure compliance and best practices.
- External Liaison: Coordinate with external legal counsel as needed for specialized matters.
Qualifications:
- JD from an accredited law school and membership in good standing with a state bar.
- 7-10 years of experience in financial services law, with a focus on hedge funds, private equity, or asset management.
- Strong understanding of SEC regulations, including the Investment Advisers Act of 1940.
- Experience with fund structuring, investor agreements, and regulatory compliance.
- Excellent negotiation and communication skills.
- Ability to work independently and provide practical, business-oriented legal advice.
