Summary
The Senior Corporate Governance Specialist supports all activities of the Corporate Governance Oversight section, which includes two programs ' the Federal Reserve Directors Program and the Outside Gifts Program. The Federal Reserve Directors Program develops, implements, communicates, and administers policies and procedures regarding the selection, appointment, eligibility, service, conduct, and responsibilities of Federal Reserve Bank head office and branch directors. The Senior Corporate Governance Specialist contributes to the overall successful administration of program activities and initiatives. Contributes significant subject matter expertise regarding the appointment of all Reserve Bank Class C directors and Board-appointed branch directors, as well as the designation of Reserve Bank Chairs and Deputy Chairs. Contributes a leading role in the planning and execution of System-wide conferences of directors, at the direction of the section manager; and conducts research, drafts Board memoranda, and maintains an electronic database. With respect to the Outside Gifts Program, the Senior Corporate Governance Specialist provides guidance to Board members and staff regarding gifts received from outside sources, and coordinates the disposition of impermissible gifts in accordance with Board policy. The Senior Corporate Governance Specialist also contributes a leading role within the Corporate Governance Oversight section with other activities or projects related to good corporate governance practices that routinely arise in the Office of the Secretary.
Duties And Responsibilities
Contributing significant expertise in the administration of the Federal Reserve Directors Program
- Provides answers and assists other staff in carrying out the mission of the Federal Reserve Directors Program, which is to ensure that Reserve Bank and Branch directors perform their responsibilities in a manner that is consistent with statutory requirements, Board policy, and sound corporate governance principles. Provides answers and significant expertise, and also leads the planning and execution of all Directors Program activities and initiatives. Demonstrates sense of ownership and responsibility for the program’s overall success. Displays initiative and resourcefulness in proposing practices and procedures that will benefit program operations and effectiveness.
- Demonstrates significant subject-matter proficiency of issues related to (1) eligibility criteria for the selection and appointment of Federal Reserve directors; and (2) standards for the conduct of Reserve Bank directors, including political activity. Serves as a key resource for Reserve Bank Corporate Secretaries in responding to complex and novel questions about director policies and practices.
- Demonstrates significant proficiency of the roles and responsibilities of Reserve Bank directors, including (1) the role of directors in the governance and management of Reserve Bank head offices and branches; and (2) contributions by directors to the mission and objectives of the Federal Reserve System, especially the role of directors in providing regional and national economic insight for the formation of monetary policy.
Producing Complex Memoranda, Communications, and Reports
- Using various research tools, including web search engines, conducts routine background research regarding potential candidates for Federal Reserve Bank and Branch boards of directors. Also conducts research regarding the history, background, and prior application of Board policies and regulations. Communicates research findings to senior staff members, identifies potential complex issues for further analysis, and conducts further complex analysis for review by senior staff members. Also provides answers and assists other staff in these areas.
- Drafts internal and external correspondence, including e-mails, formal letters, and memoranda. Drafts Board memoranda regarding candidates for Reserve Bank boards of directors. Reviews written work product for accuracy. Communicates orally with Board and Reserve Bank staff, as well as outside parties, such as directors, in person and by telephone, regarding administrative and other routine matters. With limited guidance from section manager, reviews drafts composed by junior staff.
- As directed by the section manager, provides guidance and direction to junior staff in managing the Directors Program computer database, including the accuracy of all content. Analyzes the section’s technology needs, and leads other Corporate Governance Oversight staff in developing, implementing, and maintaining computerized systems. Retrieves and organizes data for analytical purposes. Responsible for generating and customizing detailed analyses and statistical reports related to the composition of Reserve Bank boards.
Planning and executing conferences
- Contributes a leading role in the planning and execution of several System-wide director conferences each year. Oversees the coordination of all logistical details and serves as a point of contact for attendees regarding administrative and logistical matters. Prepares, organizes, and distributes all conference materials, including memoranda to Board members and senior staff.
Contributing significant subject matter expertise in the administration of the Outside Gifts Program
- Under the direction of the Corporate Governance Oversight Manager, prepares draft responses to requests for guidance from Board members and staff regarding gifts received from outside sources. Contributes to the administration of the Board’s program for gifts received from representatives of foreign governments in a manner that complies with relevant statutory and regulatory provisions and that satisfies OSEC’s responsibilities under Board policy. Coordinates the disposition of impermissible gifts by returning the items to the donor or accepting gifts on behalf of the Board and then transferring custody to Board Property Management. Coordinates the submission of reports for foreign gifts received or offered by Board staff to the Department of State
Performing other duties in support of the Corporate Governance Oversight Section
- Carries out other activities, functions, and special projects related to good corporate governance practices, as assigned to the Corporate Governance Oversight section by the section’s line officer or Secretary of the Board. Such activities will routinely include, among other things, drafting correspondence on behalf of Board members and the Secretary and drafting responses to inquiries from government officials and members of the public.
- Follows all appropriate procedures to ensure that program records are properly retained, organized, and accessible, as required by law, regulation, policy, and good management practices. Responsible to collect records and other documents as needed to respond to inquiries.
- Provides guidance and direction to other section staff in the performance of their duties.
Position Requirements
FR25 Requires (1) a bachelor’s degree and a minimum of 4 years of relevant experience or (2) a master’s degree or professional degree, such as a JD, and 3 years of relevant experience. Requires excellent analytical ability; strong oral and written communication skills; and strong information technology skills, including familiarity with different forms of computer hardware, software, database platforms, and document management systems. Work demands superior organizational skills, attention to detail, and ability to juggle multiple assignments simultaneously. Must possess and demonstrate significant subject matter proficiency regarding activities of the Federal Reserve System and applicable laws, regulations, and guidance. Prefer experience supervising other staff.
FR26 Requires (1) a bachelor’s degree and a minimum of 5 years of relevant experience or (2) a master’s degree or professional degree, such as a JD, and 4 years of relevant experience. Requires excellent analytical ability; superior oral and written communication skills; and strong information technology skills, including familiarity with different forms of computer hardware, software, database platforms, and document management systems. Work demands superior organizational skills, attention to detail, and ability to juggle multiple assignments simultaneously. Must possess and demonstrate subject matter expertise regarding activities of the Federal Reserve System and applicable laws, regulations, and guidance. Significant experience supervising other staff is preferred.

Requires excellent strategic thinking and analytical ability; superior oral and written communication skills; and strong information technology skills, including familiarity with different forms of computer hardware, software, database platforms, and document management systems. Work demands superior organizational skills, attention to detail, and ability to juggle multiple assignments simultaneously. Must possess and demonstrate subject matter expertise regarding activities of the Federal Reserve System and applicable laws, regulations, and guidance. Significant experience supervising other staff is preferred.
