The Opportunity:
If you are an attorney with private equity tax experience, we have an opportunity in our Suburban Philadelphia Headquarters to join our Legal Team to support our growing business. Specifically, the attorney will work on
tax review and perform negotiations for fund investments.
Your responsibilities will be to:
- Review, comment, and negotiate tax provisions in underlying fund agreements and side letters.
- Review and evaluate underlying fund structures and tax diligence materials to determine
appropriate investment vehicle for clients depending on tax sensitivity. - Conduct tax due diligence on proposed investment which includes discussing tax leakage and
investment structure with underlying sponsor and coordinating with relationship managers as
needed. - Advise HL team members on tax issues and risks associated with provisions in underlying fund
agreement or side letters and provide clear and practical guidance. - Interface with legal team members, investment professionals, members of other HL business
departments, clients, private equity sponsors and their counsel, and other parties in connection
with investments. - Supervise outside tax counsel in reviewing tax provisions.
- Special projects as assigned.
Your background and skills will include:
- Juris Doctor required.
- Master’s in taxation or Tax LLM strongly preferred.
- Minimum of 3 years’ experience at a law firm or relevant in-house position.
- Strong understanding of US tax issues. International tax experience is preferred.
- Experience with private equity investments preferred.
- Must be self-reliant and able to interface effectively with clients, peers and opposing parties with
minimal oversight. - Possess excellent verbal and written communication skills.
- Must be flexible and adaptable to changes in timelines and able to manage multiple closings at
once. - Member of the Pennsylvania bar or eligibility for in house corporate counsel license
