The Opportunity:
Hamilton Lane is looking for an attorney with leveraged finance/credit experience to join our investmentlegal team in our Philadelphia-area headquarters. Specifically, the attorney will work on direct credit investments as well asa variety of other private market investment transactions.
Your responsibilities will be to:
- Manage a wide variety of private credit transactions from start to finish including negotiating, reviewing, and drafting (where applicable) debt commitment letters, credit agreements, intercreditor agreements, security agreements, and ancillary documents.
- Assisting with a wide variety of other private market transactions, including primaries, equity co-investing and secondary transactions.
- Advise investment teams on business issues and risks associated with these transactions and provide clear and practical guidance.
- Interface with legal team members, investment professionals, members of other HL business departments, clients, private equity sponsors and their counsel, lead lenders, and other parties in connection with investments.
- Supervise outside counsel in executing transactions where appropriate.
- Evaluate client-specific risks and considerations related to transactions and coordinate with relationship managers as needed.
- Manage all other aspects of investment closings.
- Special projects as assigned.
Your background will include:
- Law school graduate and 3-6 years work experience in the leveraged finance, credit, or other similar corporate/transactions department of a law firm (and in house, if applicable).
- Must have experience representing private equity sponsors and/or direct lenders in debt financing transactions including syndicated facilities, first and second lien facilities, unitranche facilities, mezzanine debt, and experience in drafting and negotiating documentation including commitment letters, credit agreements, intercreditor agreements, security agreements and other ancillary transaction documents.
- Other private equity transactional experience a plus, including M&A and fund investments.
- Experience taking a lead role in transactions; must be able to exercise independent judgment, problem solve and identify/implement creative solutions.
- Must be self-reliant and able to interface effectively with clients, peers and opposing parties with minimal oversight.
- General knowledge of legal structuring and tax issues associated with complex transactions a plus.
- Must be extremely detail-oriented and organized, but importantly also be able to be a practical business lawyer, and grasp the larger context of transactions, the team’s objectives and the Firm’s mission.
- Possess excellent verbal and written communication skills.
- Must be flexible and adaptable to changes in timelines and able to manage multiple transactions at once.
- Essential for the candidate to be a team player
- Member of the Pennsylvania bar or eligibility for in house corporate counsel license
